These Terms of Service ("Terms") govern your use of the website surgex.pt and any services provided by SurgeX, Unipessoal Lda. ("SurgeX", "we", "us", or "our"), a digital solutions & AI agency based in Lisbon, Portugal. By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our website or services. We recommend that you read these Terms carefully before proceeding.

SurgeX provides bespoke AI solutions tailored to each client's needs. Our services include but are not limited to: custom website design and development, AI-powered automations and workflow optimization, chatbot development and integration, and strategic AI consulting for businesses.

All services are delivered on a project basis as agreed upon in individual proposals or contracts. The specific scope, deliverables, timeline, and pricing for each project are defined in the relevant project agreement between SurgeX and the client.

All content on the surgex.pt website — including text, graphics, logos, designs, and code — is the intellectual property of SurgeX and is protected by Portuguese and international copyright law. You may not reproduce, distribute, or create derivative works from our website content without our prior written consent.

For client projects: upon full payment, the client receives ownership of the final deliverables as specified in the project agreement. SurgeX retains the right to use general techniques, knowledge, and non-confidential elements of the work for future projects and portfolio purposes, unless otherwise agreed in writing.

When engaging our services, you agree to: provide accurate and complete information necessary for us to deliver the project; respond to requests for feedback, approvals, and materials in a timely manner; ensure that any content, images, or data you provide to us do not infringe on any third-party intellectual property rights; and use the deliverables we create in compliance with all applicable laws.

Delays caused by the client's failure to provide required materials or approvals may result in adjusted timelines and, where applicable, additional costs as outlined in the project agreement.

Payment terms are defined in each individual project agreement. Unless otherwise specified, SurgeX typically requires a deposit before work begins, with the remaining balance due upon project completion or according to agreed milestones.

All invoices are payable within 30 days of issuance unless otherwise stated. Late payments may incur interest at the rate permitted under Portuguese law. SurgeX reserves the right to suspend work on a project if payments are significantly overdue.

To the fullest extent permitted by Portuguese law, SurgeX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services. This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project. Nothing in these Terms excludes or limits our liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

Either party may terminate a project agreement by providing written notice as specified in that agreement. If no termination clause is specified, either party may terminate with 30 days' written notice.

Upon termination, the client shall pay for all work completed up to the date of termination. SurgeX will deliver any completed work and materials to the client upon receipt of outstanding payments. Provisions regarding intellectual property, limitation of liability, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of Portugal. Any disputes arising from or in connection with these Terms or our services shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website, with the "Last updated" date revised accordingly.

Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed of any updates.
